Terms of Service

Introduction
These Terms of Service (“Terms”) govern your access to and use of the PocketKit website, web application, and related services (collectively, the “Services”) provided by PocketKit LLC (“PocketKit,” “we,” “us,” or “our”). By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms.
Ordering Documents and Priority
If you execute an order form, service order, subscription agreement, or other written agreement that references these Terms (each an “Ordering Document”), that Ordering Document will govern your subscription, fees, service scope, plan limits, and any enterprise-specific terms. If there is a conflict between an Ordering Document and these Terms, the Ordering Document will control solely with respect to the subject matter of that Ordering Document.
Relationship to Signed Agreements
If you and PocketKit have entered into a separately signed written agreement governing your use of the Services, that agreement will control to the extent it conflicts with these Terms.
Description of Services
PocketKit provides a mobile wallet loyalty platform that enables businesses to configure, manage, and operate digital loyalty programs, including wallet passes, campaigns, integrations, and related tools. PocketKit may also provide onboarding, configuration, consulting, and support services as part of the offering. We may modify, update, or discontinue any part of the Services from time to time.
Eligibility and Account Registration
You must be at least 18 years old and have the legal authority to enter into these Terms to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information and to keep your account information up to date.
Wallet Pass Issuance and Certificate Management
PocketKit manages the technical process for issuing and signing mobile wallet passes on your behalf, including through one or more third-party service providers. You acknowledge and agree that (a) the ability to issue, sign, and deliver wallet passes may depend on third-party platforms, services, and requirements, and (b) PocketKit may use third parties to create, manage, rotate, revoke, or otherwise administer pass-signing certificates, issuing accounts, or equivalent credentials used to support the Services. You remain responsible for the accuracy and legality of the pass content you provide, and PocketKit is not responsible for disruptions caused by third-party platform changes, outages, or policy updates that affect wallet pass functionality.
POS Integrations and Customer Authorization
The Services may integrate with your POS systems and related providers to enable loyalty program functionality. You are solely responsible for obtaining any required approvals, permissions, licenses, and credentials needed for PocketKit to connect to and interoperate with your POS environment, and for ensuring you have the right to share any relevant data with PocketKit for integration purposes. PocketKit may rely on the data you provide or make available through POS integrations and is not responsible for errors, omissions, or interruptions caused by inaccurate data, misconfiguration, third-party outages, API changes, or restrictions imposed by POS providers.
Customer Responsibilities
You are responsible for all content, data, and configurations submitted to the Services and for ensuring that your use of the Services complies with all applicable laws, regulations, and contractual obligations. You agree not to use the Services for unlawful, fraudulent, or abusive purposes, and not to interfere with the operation or security of the Services.
Data Ownership and Use
As between you and PocketKit, you retain all rights to your business data, loyalty program data, and customer data submitted to the Services. You grant PocketKit a limited, non-exclusive right to process and use such data solely to provide, operate, maintain, and improve the Services in accordance with these Terms and our Privacy Policy.
Integrations and Third-Party Services
The Services may integrate with third-party platforms and service providers, including POS systems, payment processors, hosting providers, and analytics services. Your use of third-party services is subject to the terms and policies of those providers. PocketKit is not responsible for the availability, accuracy, or functionality of third-party services.
Fees and Payment
You agree to pay all applicable fees associated with your subscription or use of the Services in accordance with the pricing and billing terms presented to you. Payments are processed through third-party payment processors, including Stripe. All fees are non-refundable except as required by law or expressly stated otherwise. PocketKit may change its fees or billing practices upon reasonable notice. By providing payment information, you authorize PocketKit and its payment processor to charge your designated payment method on a recurring basis in accordance with your subscription. If a payment fails or is past due, PocketKit may suspend or terminate access to the Services until payment is received.
Confidentiality
Each party agrees to protect the confidentiality of any non-public, proprietary, or confidential information disclosed in connection with the Services and to use such information solely for purposes of performing under these Terms. Confidential information may be disclosed to employees, contractors, and professional advisors who have a need to know and are bound by confidentiality obligations, and may be disclosed if required by law, provided the receiving party uses commercially reasonable efforts to provide notice where legally permitted.
Intellectual Property
PocketKit retains all rights, title, and interest in and to the Services, including all software, technology, trademarks, and documentation. These Terms do not grant you any rights to PocketKit’s intellectual property except for the limited right to use the Services as expressly permitted herein.
Acceptable Use
You agree not to reverse engineer, decompile, or attempt to derive the source code of the Services, interfere with or disrupt the integrity or performance of the Services, attempt unauthorized access to systems or data, or use the Services in a manner that violates applicable laws or the rights of others.
Term and Termination
These Terms remain in effect for as long as you use the Services. You may terminate your account at any time by contacting PocketKit or through your account settings where available. PocketKit may suspend or terminate your access to the Services for violation of these Terms, non-payment, or if required by law. Upon termination, your right to use the Services will cease.
Service Availability and Support
PocketKit strives to provide reliable and continuous service but does not guarantee that the Services will be uninterrupted or error-free. We may perform maintenance or updates that temporarily affect availability. Support services, response times, and service levels may vary depending on your subscription or agreement.
Disclaimers
The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, PocketKit disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. PocketKit does not warrant that the Services will meet your requirements or operate without interruption or errors.
Limitation of Liability
To the maximum extent permitted by law, PocketKit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Services. PocketKit’s total liability for any claims arising under these Terms shall not exceed the amounts paid by you to PocketKit in the twelve months preceding the claim.
Indemnification
You agree to indemnify and hold harmless PocketKit and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of the Services, your data, or your violation of these Terms or applicable law.
Compliance with Laws
You agree to use the Services in compliance with all applicable laws and regulations, including data protection, privacy, consumer protection, and marketing laws applicable to your loyalty programs and customer communications.
Force Majeure
Neither party will be liable for delays or failures to perform due to causes beyond its reasonable control, including acts of God, natural disasters, labor disputes, internet or hosting failures, government actions, or third-party service disruptions.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of [Insert State], without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in [Insert County and State], and you consent to the jurisdiction of such courts.
Assignment
You may not assign these Terms without PocketKit’s prior written consent. PocketKit may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of substantially all assets.
Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last Updated” date. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
